On 26 February, Tallinna Sadam held webinars for investors where the Chairman of the Management Board Valdo Kalm and the Head of Investor Relations Angelika Annus presented unaudited results of the Group for the year 2025 and Q4....

Sales revenue of Tallinna Sadam in 2025 was 119 million euros. Adjusted EBITDA was close to 57 million euros and profit more than 22 million euros. Comparing to the preceding year sales revenue decreased slightly by –0.8% but adjusted EBITDA increased by +6% and profit by +17%. Sales revenue in the fourth quarter was more than 29 million euros, adjusted EBITDA was 11 million euros and profit 3.6 million euros. Comparing to the same period last year sales revenue increased by +1.3%, adjusted EBITDA decreased by –8% and profit by –16%. During 2025 we invested the total of above 33 million euros, of which 12 million euros were invested in the fourth quarter....

The new multifunctional quay of AS Tallinna Sadam (hereinafter: Tallinna Sadam) was completed last year. The total investment was 64 million euros, of which 20 million euros were co-financed by the European Commission through the military mobility project EstMilMob. The new quay of Paldiski South Port is unique in the region – it is 310 meters long, the depth in front of the quay is 13.5 meters and the quay includes a 10-hectare hinterland area. The issuance of the use permit enables to start using the quay immediately, and the first planned vessel calls will bring components of the onshore wind farm being built in Latvia. The new quay will also allow to receive other oversized and heavy project goods....

AS Tallinna Sadam and TS Laevad OÜ filed a cassation appeal in July 2025 and requested that the decision of Harju County Court of 27 June 2024 and the decision of Tallinn Circuit Court of 4 June 2025 in the criminal case was annulled in the part in which the accusation was reclassified as a private sector bribery offense, the proceedings were terminated due to the statute of limitations, the civil action was dismissed, the measures taken to secure the civil action were canceled, and the procedural costs of the victims were not fully compensated....

AS Tallinna Sadam subsidiary, OÜ TS Shipping (hereinafter: "TS Shipping"), and Baffinland Iron Mines Corporation (hereinafter: Baffinland) extended the long-term cooperation agreement in 2024 for the chartering of the multifunctional icebreaker MS Botnica to assist cargo vessels in Canadian Arctic waters. MS Botnica escorts Panamax-type ships loaded with iron ore from Milne Inlet Port to the open sea. The agreement covers the period from 2024 to 2028 and includes annual call options for chartering the vessel for at least 60 days per year from September to December....

In 2025 Q4, 3.6 million tonnes of cargo and 1.9 million passengers passed through the harbours of Tallinna Sadam. Compared to the same period of the previous year, cargo volumes increased by +6% i.e. 191 thousand tonnes, mainly supported by liquid bulk and ro-ro, and the number of passengers increased by +0.9% i.e. 17 thousand passengers due to the increase in the number of cruise passengers. The number of vessel calls decreased by -4.8%. The number of vehicles travelling between the Estonian mainland and the main islands increased by +7% and number of passengers by +4.5%. The number of charter days of the icebreaker Botnica declined -3.9% comparing to the same period last year....

The European Union approved funding for AS Tallinna Sadam  (hereinafter: Tallinna Sadam) project PoTOPS (Port of Tallinn Onshore Power Supply), which aims to create onshore power supply for cruise ships at two quays in the Old City Port by 2030....

In the third quarter, Tallinna Sadam earned close to 32 million euros in sales revenue and close to 9 million euros in profit, adjusted EBITDA was 16 million euros. Sales revenue increased by +1.5%, profit by +54% and adjusted EBITDA by +17% compared to the last year. The revenue for nine months was 90 million euros, profit 19 million euros and adjusted EBITDA 45 million euros. The revenue of 9 months decreased by –1.4%, profit increased +27% and adjusted EBITDA increased +11%. In the third quarter, the volume of investments was 9 million euros, and we invested a total of 21 million euros within nine months....

The number of charter days of the icebreaker Botnica declined -20% comparing to last year....

The subsidiary company of AS Tallinna Sadam, OÜ TS Shipping, signed an agreement with Atlantic Towing Limited for chartering multifunctional icebreaker Botnica starting 10 September, 2025 for the period of 15 days with an additional option to extend the period day-by-day up to 60 days in total. According to the scope of service, Botnica will be chartered as an auxiliary vessel to support the charterer in Northern Canada....

On 28 November 2023, AS Tallinna Sadam (hereinafter referred to as "Tallinna Sadam") submitted an application to initiate bankruptcy proceedings of MPG AgroProduction OÜ (hereinafter referred to as "MPG"). On 19 January 2024, the debtor submitted its reorganization application. On 12 August 2024, reorganization proceedings of MPG were terminated by the Supreme Court's order and on 15 October 2024 the bankruptcy of MPG was declared. On 14 November 2024, MPG filed an appeal with the Tallinn Circuit Court against the bankruptcy order. On 9 September 2025, the Tallinn Circuit Court decided to dismiss MPG's appeal and to leave the resolution of the Harju County Court's order of 15 October 2024 unchanged....
