Cal-Maine Foods Closes Acquisition of Echo Lake Foods (Business Wire)

RIDGELAND, Miss.--(BUSINESS WIRE)--Cal-Maine Foods, Inc. (NASDAQ: CALM) (“Cal-Maine Foods” or the “Company”), today announced the closing of its acquisition of Echo Lake Foods.
The Company announced in April that it signed a definitive agreement to acquire Echo Lake Foods in an all-cash transaction for approximately $258 million, which is expected to provide a tax benefit of ~$28 million equating to an effective purchase price of ~$230 million. Echo Lake Foods produces, packages, markets and distributes ready-to-eat egg products and breakfast foods, including waffles, pancakes, scrambled eggs, frozen cooked omelets, egg patties, toast and diced eggs. Echo Lake Foods had annual revenues of approximately $240 million in 2024 with a five-year CAGR of approximately 10%.

Während Trump gestern in Michigan davon gesprochen hat, die Eierpreise im Januar kurz nach seinem Amtsantritt "um 87% gesenkt zu haben", stellten die US- Verbraucher in den Supermärkten etwas anderes fest. Die 10- Packung Eier ist nach wie vor auf einem Rekordhoch von 6,23 USD im US- Durchschnitt (März 2025), wobei der Preis je nach Bundesstaat deutlich davon abweichen kann. Aufgrund eines Mangels an Legehennen, welcher auf die Vogelgrippe zurückzuführen ist, werden im Falle eines nachgewiesenen Ausbruchs die gesamte Stallung des jeweiligen Betriebes gekeult, um die Ausbreitung der Vogelgrippe zu verhindern. Das US-Landwirtschaftsministerium (USDA) prognostiziert für 2025 einen weiteren Anstieg der Eierpreise um bis zu 20%. Nachdem viele US-Verbraucher Eier in Massen kaufen, sofern sie im Supermarkt vorrätig sind (die Corona- Zeit lässt grüßen!), beschränkten einige US-Supermarktketten die Abgabe von Eiern an Privatpersonen. Letzteres Verhalten führt tendenziell zu weiter steigenden Eier- Preisen, sofern nicht die Anzahl der Legehennen in den USA steigt oder zumindest konstant bleibt. Danach sieht es bisher allerdings nicht aus, weil die Anzahl der US- Legehennen von 375 Millionen (Durchschnitt aus 2024) auf 369 Millionen (Jan. 2025) gefallen ist. Ein Import von Eiern aus anderen Ländern findet bis jetzt nicht im größeren Umfang statt (angesichts der Zoll- Streitigkeiten dürfte sich die Bereitschaft dafür auch in Grenzen halten). (NASDAQ: CALM) (the “Company”) today announced the pricing of an underwritten public offering (the “Offering”) of 2,978,740 shares of its common stock by the four daughters of the Company's late founder, Fred R. Adams, Jr. (“Mr. Adams”), Dinnette Adams Baker, Luanne Adams, Nancy Adams Briggs and Laurel Adams Krodel, and Adolphus B. Baker, Board Chair (and Mr. Adams' son-in-law) (collectively, the “Selling Stockholders”), at a public offering price of $92.75 per share. Subject to the satisfaction of customary conditions, the offering is expected to close on April 17, 2025.
