Piraeus Financial Holdings Successfully Priced a €400mn Additional Tier 1 Instrument (Business Wire)

ATHENS, Greece--(BUSINESS WIRE)--Piraeus Financial Holdings S.A. (“Piraeus” or the “Group”) (ATHEX: TPEIR) (OTCQX:BPIRY) (OTCQX: BPIRF) announces that it has successfully completed the pricing of €400 million Fixed Rate Reset Additional Tier 1 Perpetual Contingent Temporary Write-Down Notes (the “Notes”).
The AT1 Notes carry a coupon at 6.750%, which is paid semi-annually, on 30 June and 30 December in each year. They are perpetual and callable on 30 December 2030 or in any interest payment date thereafter, subject to the terms and conditions of the Notes. Settlement will take place on 30 June 2025 and the Notes will be listed on the Luxembourg Exchange's Euro MTF market. The Notes have been assigned a “B1” rating from Moody's Ratings.
The AT1 offering contributes towards the implementation of the Group's strategic plan, optimizes the capital stack throughout the planning horizon, and further strengthens the Group's total capital adequacy ratio to 20.6% (proforma Mar.25).

ATHENS, Greece--(BUSINESS WIRE)--Piraeus Financial Holdings S.A. (ATHEX: TPEIR) (OTCQX:BPIRY) (OTCQX: BPIRF) announces that its subsidiary, Piraeus Bank S.A. (“Piraeus” or the “Bank”), has successfully completed the pricing of a new €500 million Green Senior Preferred Bond (hereinafter also called the “Bond”) at a yield of 3.140%, attracting the interest of a large number of institutional investors.
The Bond has a maturity of 3.5 years and an embedded issuer call option after 2.5 years. Settlement will take place on 3 June 2025 and the notes will be listed on the Luxembourg Stock Exchange's Euro MTF market. The Bond is expected to be assigned an investment grade rating of “Baa2” from Moody's Ratings.

The Board of Directors of Piraeus Financial Holdings S.A., pursuant to its resolution of 14 March 2025, has invited the company's shareholders to approve, at the Annual General Meeting of Shareholders on 14 April 2025, a distribution of €373 million, equivalent to a cash payment of €0.298 per share, to the company's shareholders.
The proposed cash payment of €0.298 per share would be in the form of a capital reduction and accordingly not subject to any withholding.
In accordance with the Board's resolution, with respect to the distribution, the ex-dividend would be 26/5/2025, the record date would be 27/5/2025, and the payment date would be 30/5/2025.

ATHENS, Greece--(BUSINESS WIRE)--Further to the announcement on 06 February 2025, Piraeus Financial Holdings S.A. informs the investment community that its subsidiary Piraeus Bank S.A. (“Piraeus”) has entered into a Share Purchase Agreement (hereinafter “SPA”) to acquire 90.01% stake in the parent company of Ethniki Insurance (the “Transaction”) from CVC Capital Partners Fund VII.
As per the signed SPA, the consideration for the Transaction is €600mn in cash, on a 100% basis.
The Transaction is expected to further diversify the revenue sources of Piraeus, enhancing value creation for shareholders, while it will complement our product range, covering the whole spectrum of banking, protection and investment solutions.

ATHENS, Greece--(BUSINESS WIRE)--Further to the announcement on 03 February 2025, Piraeus Financial Holdings (hereinafter “Piraeus”) informs the investment community that it has agreed to enter into exclusive discussions with CVC Capital Partners' Fund VII (“CVC”) regarding the potential acquisition by Piraeus of a 70% stake in Ethniki Insurance for €469mn (the “Potential Transaction”).
